By accessing the Website, submitting an inquiry, signing a proposal/Statement of Work (“SOW”), or otherwise engaging our Services, you (“Client,” “you”) agree to be bound by these Terms. If you do not agree, please do not use the Website or engage our Services.
Description of Services
Kryltex provides technology services, which may include, without limitation:
The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, quotation, or Statement of Work (“SOW”) agreed in writing (including via email) between the Client and the Company. In the event of any conflict between these Terms and a signed SOW, the SOW shall prevail for matters it specifically addresses.
Engagement Models and Fees
Depending on the nature and scope of the project, engagements may be structured as:
All fees are exclusive of applicable taxes (including GST) unless stated otherwise, and will be charged in addition at the rate prevailing at the time of invoicing. Payment terms (advance, milestone splits, due dates) will be specified in the SOW or invoice. Late payments may attract interest and/or suspension of ongoing work, at the Company's discretion, until outstanding dues are cleared.
Client Responsibilities
Intellectual Property
5.1 Client-Owned Deliverables
Unless otherwise specified in the applicable SOW, upon full and final payment for a project, ownership of the final, custom-developed deliverables (source code written specifically for that engagement) shall transfer to the Client.
5.2 Company and Third-Party Tools
The Company retains all rights to its pre-existing tools, frameworks, libraries, internal automation systems, methodologies, and any generic/reusable components not developed exclusively for the Client, even where incorporated into a deliverable. Such components are licensed to the Client for use as part of the delivered product, but are not assigned outright. Third-party software, APIs, libraries, or platforms integrated into deliverables remain subject to their own respective licenses.
5.3 Portfolio Rights
Unless the Client requests confidentiality in writing, the Company may reference completed projects (name, general description, and visuals of the final product) in its portfolio, website, and marketing materials, excluding any confidential or proprietary business information of the Client.
Confidentiality
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with an engagement, and to use such information solely for the purpose of performing or receiving the Services. This obligation survives termination of the engagement and continues for a period of 2 years thereafter, except for information that is independently developed, becomes public through no fault of the receiving party, or is required to be disclosed by law.
Data and Systems Access
Where an engagement requires access to the Client's systems, codebases, servers, or data (including data relating to the Client's own end-users), such access will be used strictly for the purpose of performing the contracted Services, in accordance with our Privacy Policy. Access credentials will be handled with reasonable care and revoked/returned upon completion of the engagement, unless a support/maintenance arrangement requires continued access.
Warranties and Disclaimers
We will perform the Services with reasonable skill, care, and in accordance with industry practice. Except as expressly stated in a signed SOW, the Services and deliverables are provided “as is,” and we do not warrant that software will be entirely free of defects, uninterrupted, or fit for a purpose not specified in the SOW. Any bug-fix or warranty period for a specific deliverable will be as stated in the applicable SOW.
Limitation of Liability
To the maximum extent permitted by law, the Company's aggregate liability arising out of or relating to an engagement shall not exceed the total fees actually paid by the Client for that specific engagement in the 3 months preceding the claim. The Company shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.
Third-Party Services and Dependencies
Projects may rely on third-party platforms, APIs, hosting providers, or services (e.g., cloud infrastructure, payment gateways, AI model providers). The Company is not responsible for outages, pricing changes, policy changes, or discontinuation of such third-party services, though we will make reasonable efforts to advise the Client of material impacts and assist with reasonable migration where feasible (which may be chargeable as additional scope).
Term and Termination
Independent Contractor Relationship
The Company and any personnel or sub-contractors engaged by it act as independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between the Client and the Company or its personnel.
Website Use
You agree to use the Website only for lawful purposes and not to interfere with its operation, attempt unauthorised access to our systems, or misuse any content, forms, or tools provided on it. All content on the Website (branding, text, design) is the property of the Company unless otherwise noted, and may not be reproduced without written permission.
Indemnification
You agree to indemnify and hold the Company, its directors, and personnel harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or any content/data you provide that infringes third-party rights or applicable law.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or an engagement shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts at Prayagraj, Uttar Pradesh.
Amendments
We may update these Terms from time to time, with the revised version posted on this page along with an updated Effective Date. Material changes affecting an ongoing engagement will be communicated to the Client directly; continued engagement after such notice constitutes acceptance.
Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force. These Terms, together with the applicable SOW/proposal and our Privacy Policy, constitute the entire agreement between the parties with respect to the Services, superseding any prior discussions or understandings on the subject matter.
